1. Definitions

• "Service" or "Salesbot BackOffice" refers to our web application, dashboards, APIs, widgets, integrations, and any related tools or services we provide.
• "You" and "User" refer to the individual or legal entity accessing or using the Service.
• "Customer Content" means any data, text, files, prompts, documents, messages, configurations, or other materials you or your end users submit to or through the Service.
• "AI Agents" means chatbots, automations, or other AI-powered flows you configure and deploy using the Service.

2. Acceptance of Terms

By accessing and using Salesbot BackOffice ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

3. Use License

Permission is granted to temporarily use Salesbot BackOffice for personal or commercial purposes. This is the grant of a license, not a transfer of title, and under this license you may not:

• Modify or copy the materials
• Use the materials for any commercial purpose or for any public display
• Attempt to reverse engineer any software contained in the Service
• Remove any copyright or other proprietary notations from the materials
• Transfer the materials to another person or "mirror" the materials on any other server

4. Account Registration

• Maintain and promptly update your account information
• Maintain the security of your password and identification

5A. Fair Use and Abuse Prevention

To protect the stability of the Service and other users, we may temporarily limit, throttle, or suspend your access if we detect abusive, excessive, or automated use that negatively impacts the Service, including but not limited to spam, fraud, or attempts to overload our infrastructure or third-party providers.

6. Customer Content and Ownership

You retain all rights to Customer Content that you submit to the Service. We do not claim ownership of your Customer Content.

By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display your Customer Content solely for the purpose of providing, maintaining, securing, and improving the Service, and as otherwise required by law.

You are solely responsible for Customer Content and for ensuring that your use of the Service (including any AI Agents you create) complies with all applicable laws, regulations, and third-party rights (including intellectual property and privacy rights).

7. AI Agent and Content

You are responsible for:

• The content and behavior of AI agents you create using the Service
• Ensuring your AI agents comply with all applicable laws and regulations
• Not using the Service to create AI agents that engage in harmful, illegal, or unethical activities
• Respecting intellectual property rights when creating AI agent content

8. Payment and Billing

If you purchase a subscription or credits:

• All fees are non-refundable unless otherwise stated
• You agree to pay all charges associated with your account
• We reserve the right to change our pricing with 30 days notice
• Failure to pay may result in suspension or termination of your account

9. Intellectual Property

The Service and its original content, features, and functionality are owned by Magnus Games Studio and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

9A. Third-Party Services and AI Providers

The Service may integrate with or rely on third-party services, including cloud infrastructure, analytics providers, and AI/LLM providers. Your use of such third-party services may be subject to their own terms and privacy policies.

We use commercially reasonable efforts to select reputable third-party providers, but we are not responsible for outages, data loss, or other issues caused solely by those third-party services.

Where we use external AI providers to process your Customer Content (for example, to generate AI responses), such processing is done for the purpose of providing the Service to you. We do not grant those providers permission to use your Customer Content to train their public models beyond what is necessary to provide their service to us, to the extent we can control this via configuration or contract.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

11. Disclaimer

The information on this Service is provided on an "as is" basis. To the fullest extent permitted by law, this Company excludes all representations, warranties, conditions and terms relating to our website and the use of this website.

12. Limitation of Liability

In no event shall Salesbot BackOffice, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Service.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect.
